摘要：伴随市场经济的不断发展，企业的经营战略必须与时俱进，而资本运营模式逐渐受到社会的青睐。但是企业的资本运营过程不可能一蹴而就，存在许多形形色色的复杂风险。本文选择山东省D集团有限公司作为研究对象，首先阐述了民营企业的资本运营理论，具体介绍资本运营、风险管理、资本运营风险这三大方面的理论，其次，以山东省D集团有限公司为案例，深刻探讨D集团有限公司的经营概况、资本运营方案，并从外部环境风险、发发行市场风险、自身情况风险、财务风险、收购风险这五大方面详细地论述其资本运营风险概况。再次，在风险模糊评价法、AHP理论的基础上，选择适用于D集团有限公司资本运营的风险评估方法，构建风险模糊评估模型，采取三层次的分析方法，构建风险因素集、风险判断集、模糊关系矩阵、权重确定、综合评估分析。最后，本文根据风险模糊评估模型结果，对D集团有限公司的资本运营风险防控提出针对性的建议。

Abstract: Along with the continuous development of market economy, enterprise management strategy must keep pace with The Times, and gets gradually the favour of social capital operation mode. Enterprise's capital operation process, however, will not happen overnight, there are many kinds of complex risks. This paper choose D group co., LTD of shandong province as the research object, first elaborated the private enterprise capital operation theory, capital operation, risk management, capital operation in detail the three aspects of risk theory, secondly, to D group co., LTD of shandong province as a case, and deeply discusses D group co., LTD., general situation of the management, the capital operation plan, and from the external environment risk, market risk, risk, financial risk, risk buy these five aspects this paper describes in detail the capital operation risk profiles. Again, on the basis of the theory of risk fuzzy evaluation method, AHP, choose suitable for D group co., LTD., capital operation risk assessment methods, build risk fuzzy evaluation model, the three levels of analysis methods, build the risk factor, risk judgment sets, fuzzy relationship matrix, weight determination, comprehensive analysis and evaluate. Finally, the article according to the results of the evaluation model of risk capital operation risk prevention and control of D group co., LTD. Corresponding Suggestions are put forward.
